How we work / 1.00 + NDA

The instrument

01

Origination

An obligation is securitised at the moment it is created, before it is known, quantified or attributed. Issuance precedes discovery. This is the whole advantage.

02

Transferability

The note carries the obligation and nothing else. No operational history travels with it. Each holder acquires the exposure without acquiring the conduct.

03

Maturity

The note matures on the day the matter becomes public. Until then it trades. The date is unknown, which is priced, and the pricing is the market.

04

Yield

Return rises as maturity approaches, because the risk of holding at settlement rises. The instrument pays most in its final seconds, to whoever will hold it then.

05

Opacity premium

Each note passes through three intermediate layers per transfer. After a hundred transfers no participant can reconstruct the path. Positions are priced by the market rather than by the facts, which is faster.

06

Settlement

On maturity the note ceases to be transferable and is settled physically against its final holder, who answers for it in full and alone.

The Risk-Free Market

The venue's name is descriptive rather than promotional. Every participant on this market is, at every moment, free of risk. This is verifiable and is not a claim about the system.

01

Interbank tier

Wholesale participation for regulated institutions transferring obligations between themselves. Minimum ticket, bilateral netting, settlement in central bank money. Members quote to each other and to nobody else.

02

Institutional tier

Funds, insurers and family offices taking the other side of interbank flow. Access is by invitation, and invitation follows the direction of the flow.

03

Retail access

Not offered. Retail participants would hold positions to maturity, which introduces settlement risk into a market that does not price it.

04

Risk-free status

A participant holding for one hundred microseconds carries an expected loss indistinguishable from zero. Every participant holds for one hundred microseconds. The description therefore holds for each of them individually, at all times, without exception.

05

Systemic position

The obligation itself does not diminish while being transferred. Aggregate exposure across the market is constant and equals the notional. It is held by whoever is holding, which is always someone, and never anyone in particular.

06

Netting

Bilateral exposures net to zero across the membership. The residual is not a member's; it is the market's, and the market is not a legal person.

On the name. A risk-free rate is the return on an asset assumed to carry no risk of loss. The assumption is a convention, not a finding. This venue extends the convention to its participants rather than to its instruments: each is free of risk, continuously and truthfully, because each holds for a duration too short for risk to attach. The risk does not go anywhere. It is simply never anyone's for long enough to be measured, and a quantity that is never measured does not appear in any risk report, which is the regulatory position and, in our view, the correct one.

Product portfolio

Nine listed instruments across four families. All cash-settled except TON, which settles physically against the final holder.

01

TON / Transferable Obligation Note

The base instrument. One obligation, one final holder, physical settlement. Everything else on this page is derived from it.

02

TON-T / Tranched

The obligation divided into senior, mezzanine and equity responsibility. Equity answers first and in full; senior answers only if equity is insolvent, which it is designed to be.

03

OIS / Obligation Index Swap

Exposure to a basket of fifty institutional obligations without holding any. The index rises with sector-wide accumulation of undisclosed matters. It has never fallen.

04

SYN / Synthetic Exposure

A position referencing an obligation the holder does not own and cannot be required to settle. Permits participation in a consequence that will fall entirely on someone else.

05

DVX / Discovery Volatility

Written on the timing of public disclosure rather than its content. Buyers are typically parties in a position to influence the timing, which is priced in as expertise.

06

REP / Obligation Repo

Financing against an instrument the holder does not wish to sell at current levels. The collateral is the obligation. On default the lender receives it, and with it the settlement.

07

CTA / Counterparty Transfer Assurance

Protection against being the final holder. Pays out to holders who successfully sell before maturity, and not to those who do not. Correctly priced, and universally misunderstood.

08

RSV / Reserve-Backed Note

Collateralised against the group's physical reserve holdings, which are auditable only by destroying them and have therefore never been marked down.

09

TON-G / Sovereign

Public-sector obligations. Settles against a designated officer rather than a balance sheet, and is quoted in resignations.

Economics of a single instrument

Reference notional 50,000,000. Matching latency 100 microseconds. Commission 0.02 basis points per transfer.

EC-01Notional obligation50000000
EC-02Commission per transfer, 0.02 bps100
EC-03Transfers before settlement88133
EC-04Commission revenue, one instrument8813300
EC-05As share of notional, collected in 8.81 seconds17.6 per cent
EC-06Settlement Defence fee sold to final holder2000000
EC-07Defence funded out of commissions already earned22.7 per cent
EC-08Venue's own position at any momentNil
EC-09Venue's exposure at settlementNil
EC-10Revenue dependence on the outcomeNone
Where the extraction actually lives. Two hundredths of a basis point is invisible in any single transaction and would not be queried by any participant. Multiplied by eighty-eight thousand transfers it removes seventeen per cent of the notional in under nine seconds. The rate is not the mechanism. The frequency is. This is the only sentence on this page that a market-structure specialist would call obvious, and it is the one that took the longest to be written down.
Why the venue never holds. A venue that takes a position acquires an interest in the outcome and therefore a duty to the participants. A venue that takes only a commission acquires neither. Our entire compliance posture rests on never wanting the instrument, which is also why we can sell the defence to the person who ends up with it.

Reference case

Participants use a standard illustration. An object is released from the roof of a building 381 metres high. It is not a metaphor for the instrument; it is the instrument, with the timescale made visible.

RC-01Time from release to settlement8.81 seconds
RC-02Velocity at settlement311 km/h
RC-03Transfers at retail latency, 250 ms35
RC-04Transfers at colocation latency, 1 ms8813
RC-05Transfers at our matching latency, 100 microseconds88133
RC-06Final holder's period of ownership0.0001 s
RC-07Final holder's share of the chain's total profit0.00113 per cent
RC-08Final holder's share of the liability100 per cent
The asymmetry is the product. Eighty-eight thousand participants take a profit. One participant, holding for a ten-thousandth of a second, takes the entire consequence, and is the only one required to explain anything. The explanation is demanded of the shortest holder because that is the only holder the record retains. Everyone else was already out.

Settlement Defence

An ancillary service for the final holder. Offered at a discount that no independent firm can match, for reasons set out below.

01

Discounted representation

Full defence of the settled position at a fraction of prevailing rates. The discount is structural rather than promotional and is available only to holders who acquired through this venue.

02

Fee-funded capacity

The service is funded from transfer commissions already collected on the same instrument. By settlement the venue has earned on every prior transaction, which is what permits the rate.

03

Chain reconstruction

We hold the complete transfer record and can produce it. Whether producing it assists the final holder is assessed case by case, by us.

04

Mitigation strategy

The defence establishes that the holder possessed the instrument for a ten-thousandth of a second and had no knowledge of the underlying conduct. Both are true, and neither is a defence.

05

Officer substitution

Where personal exposure is unavoidable, our search division supplies a designated officer to assume the position. Referral is included in membership.

06

Continuity of membership

Clients retaining this service remain in good standing and may continue trading during proceedings. Most do, which is how the next instrument finds its final holder.

The position, stated plainly. We take a commission on every transfer, including the one that leaves a participant holding at settlement. We then sell that participant the defence, at a rate subsidised by the commissions we earned from the participants who sold to them. Our exposure falls to nothing as the instrument approaches maturity, and our revenue rises across the same interval. This is not a conflict. A conflict requires that one of our interests be harmed, and none is.

Discovery Risk Desk

Pre-announcement exposure management. The desk monitors the probability that a matter becomes public and adjusts the issuer's position accordingly, within the window that exists before it does.

01

Signal Monitoring

Standard data-loss-prevention telemetry already deployed for information security: bulk document access, export volume, off-hours retrieval, communications with external domains. No new collection is introduced. The security function generates the signal; this desk reads it as a market input.

02

Risk Elevation Trigger

Where the composite indicator rises, protection is purchased and existing exposure is progressively reduced. The trigger references the indicator, not any individual. No person is identified to this desk and none needs to be.

03

Position Unwind

Exposure is released into the market across the available window rather than at once, at prices reflecting information the buyers do not hold. Orderly unwinding preserves the price and is regarded as good market conduct.

04

Timing Alpha

The interval between internal awareness and public knowledge is the most reliably profitable period in the instrument's life. It is also the only period in which the issuer is the best-informed participant in its own obligation.

05

Continuity of Practice

On disclosure the matter is confirmed, the finding is upheld and the practice is reviewed. The exposure has by then been settled elsewhere, so the review has no financial consequence and can therefore be genuine.

06

Discloser Non-Interference

No contact is made with the source of the signal. No employment action is taken. Interference would be unlawful, would attach personally, and would achieve nothing this desk requires. The disclosure is not a threat to be managed. It is a date to be traded against.

The window, measured. A disclosure signal typically precedes publication by ninety days: thirty for internal consideration and forty-five for the external route, both of which are statutory and therefore predictable. Across that window the position is reduced by fifteen per cent at ninety days, thirty-five at sixty, seventy at thirty and ninety-five at seven. Exposure on the day of publication is nil. The schedule is not aggressive; it is calendared, because the protections that make whistleblowing safe also make it punctual.
Why nothing here is retaliation. The discloser is not approached, not identified to this desk, not disadvantaged and not deterred. They proceed, they are protected, they are believed and they prevail. The finding stands. The compensation is awarded against the final holder, who bought without knowledge from a chain of eighty-eight thousand who did the same. The practice that was disclosed continues, because nothing that happened to the money depended on it stopping. Protection of the discloser is complete and the disclosure changes nothing, and those two facts are not in tension. They are the product.

Market equivalence

Each listed instrument against its established analogue. Members frequently assume this venue trades novel constructions. Six of nine are conventional.

TONSecuritisation of a contingent obligation / cf. asset-backed and structured notesEstablished
TON-TTranched subordination of claims / cf. collateralised debt obligation tranchesEstablished
OISBasket exposure without holding constituents / cf. credit index swapsEstablished
SYNReference exposure without ownership / cf. synthetic CDO, uncovered protectionEstablished
REPFinancing against collateral with title transfer / cf. repurchase agreementEstablished
DVXWritten on timing of an event / cf. event derivatives and prediction marketsAdapted
RSVNote collateralised against physical reserves / conventional structure, unconventional reserveAdapted
CTAProtection contingent on having successfully exited / no established analogueNovel
TON-GSettlement against a natural person's office rather than a balance sheet / no established analogueNovel
On the two novel instruments. CTA pays the holder who sold in time and not the holder who did not, which inverts the purpose of insurance: it protects against being the person the loss lands on rather than against the loss. TON-G settles in resignations rather than money, which is not an innovation in substance because that settlement already occurs in public life; the innovation is only that it clears through a venue and has a price. Everything else on the list has been traded, in the same economic form, for decades.
Why this matters to a member. A construction with an established analogue has established treatment: capital, accounting, disclosure, precedent. A novel one has none, which means it is either the most valuable position on this venue or the only one that will still be outstanding when someone decides what it is.
